Independent Contractor Agreement

This Independent Contractor Agreement ("Agreement") is entered into as of [Insert Date], by and between VTX, LLC d/b/a Snap Voyagers, a Texas limited liability company ("Company"), and [Insert Full Name] ("Contractor" or "Group Leader").

1. Services

Contractor agrees to provide photography guiding and trip leadership services for one or more travel photography itineraries organized by Snap Voyagers, as described in Exhibit A attached hereto ("Services"). Contractor will lead, teach, support, and ensure the safety of participants during these trips.

2. Independent Contractor Status

Contractor is an independent contractor and not an employee, partner, or agent of the Company. Contractor shall have no authority to bind or represent the Company. Nothing in this Agreement shall be construed to create a joint venture or employment relationship.

3. Compensation

Contractor will be compensated as outlined in Exhibit A. Contractor is responsible for all applicable federal, state, and local taxes. No benefits, insurance, or reimbursement will be provided unless otherwise agreed in writing.

4. Logistics Coordination

Snap Voyagers may handle all lodging, transportation, and meal arrangements for travelers and Contractor on Contractor's behalf during each trip. Such coordination does not alter Contractor's independent status.

5. Cancellations & Replacements

• Contractor must notify Snap Voyagers immediately if unable to fulfill trip responsibilities.
• Snap Voyagers may replace Contractor at its discretion in case of illness, emergency, or non-performance.
• Late cancellations may result in reduced compensation or termination of future engagements.

6. Intellectual Property & Marketing

Contractor agrees that all itineraries, branding materials, and proprietary content remain the property of Snap Voyagers. Contractor grants Snap Voyagers permission to use their name, picture, and biography in promotional materials.

7. Media Ownership

Contractor retains ownership of their own photos and videos taken on trips. Contractor grants Snap Voyagers a non-exclusive, perpetual, royalty-free worldwide license to use, reproduce, display, and distribute photos or videos taken by Contractor for marketing purposes, unless otherwise agreed.

8. Insurance

Contractor must maintain appropriate personal and professional insurance, including travel and liability coverage. Proof of insurance may be requested.

9. Confidentiality

Contractor agrees not to disclose any confidential business, traveler, or trip information to third parties without written permission.

10. Indemnification

Contractor shall indemnify and hold harmless Snap Voyagers from any liability, claims, or expenses resulting from Contractor’s actions, negligence, or failure to comply with this Agreement.

11. Governing Law

This Agreement shall be governed by the laws of the State of Texas. Any disputes shall be resolved in Travis County, Texas.

12. Entire Agreement

This Agreement, including any attached exhibits, constitutes the entire understanding between the parties and supersedes any prior agreements. It may only be modified in writing, signed by both parties.
